I am a lawyer. I have typically been referred to as a corporate, transaction, or securities lawyer. I was previously a senior partner of a prominent, full-service law firm with principal offices in Los Angeles, California. I was a member of the corporate department, lead mergers and acquisitions lawyer, and chair of the securities law practice. I also served as chair of the firm’s legal ethics committee.
I retired early from my firm and became a sole practitioner in order to spend more time with my family and friends. I now work part-time out of a home office. I limited my practice to a few clients. I did general corporate work and served as lead counsel in an occasional corporate acquisition or disposition with help from my former firm or my son’s law firm.
I also continued to serve on the boards of directors of three publicly-held corporations, two of which were listed on the New York Stock Exchange. I retired from my last director position in early 2014.
After I retired from my law firm, I began getting calls from litigation lawyers looking for an expert witness for legal malpractice suits involving corporate, securities, contract, or transaction issues. As my reputation grew, I started getting even more calls to serve as an expert witness in disputes involving corporate governance and fiduciary duty issues between business entities and their owners and managers. I am qualified for those kinds of cases because of my extensive experience as a business, corporate, and securities transaction lawyer and my many years of experience as a “boardroom lawyer” and director of public and private corporations.
I have a bachelor’s degree in economics from UCLA and a law degree from the UCLA School of Law. More detailed information on my experience and interests is provided on other pages of this website.
